Application Condition
Application Materials 1. "Application form for cancellation of registration of foreign companies";
2. “The designated representative or the co-commissioned agent’s power of attorney”;
3. The original approved to cancel registration approval documents issued by original administration authority. If the cancellation is caused by the following reasons: the business operating period is full, the court ruled the dissolution, bankruptcy of the company, the administrative authority ordered to close, revocation of the business license, revocation of the establishment permit or revocation of the company registration, then this item does not need to submit;
4. A resolution or decision made in accordance with the law. This item means a resolution or decision made accordance with the Company Law of the People's Republic of China, the Law of the People's Republic of China on Sino-foreign Equity Joint Ventures, the Law of the People's Republic of China on Chinese-Foreign Contractual Joint Ventures, the Law of the People's Republic of China on Foreign-funded Enterprises and the Articles of Association of the enterprise. The contents of the resolution or decision shall be consistent with the matters applied. If the court decides to dissolve or bankrupt the company, or if the administrative authority ordered it to close, revoked the business license and revoked the establishment permit, then it shall submit the decision document of the court or the administrative authority respectively. Due to a violation of the "Regulations on the registration of the company", the company registration was revoked by the authority in accordance with the law. Then it should submit the revocation decision issued by the registration authority;
5. The liquidation report confirmed and recorded by law. The liquidation report shall indicate the circumstances of the tax, customs and tax formalities that have been completed and a copy of the newspaper that includes the publication of the cancellation statement;
6. The notice of branch company cancellation of registration. If the company is absorbed and merged, its branch company may apply for a change of registration;
7. Tax certificate issued by the tax authorities. If the original verification certificate has been provided in the liquidation report, it may not be provided separately;
8. Other relevant documents;
9. The Business license and its copy.
Note: 1. The foreign-invested limited liability companies or joint stock limited companies apply for cancellation of registration in accordance with the Company Law, the Law on Sino-foreign Equity Joint Ventures, the Law on Foreign-funded Enterprises, the Law on Sino-foreign Cooperative Enterprises, are applicable to this specification.
