Application Condition
Application Materials 1. "Application form for cancellation of registration of branches of foreign-invested enterprises";
2. “The designated representative or the co-commissioned agent’s power of attorney”;
3. Approval documents from administration authorities. This is only applicable to the case required by laws and the regulations to apply for approval to the administration authority to cancel branch company registration;
4. A resolution or decision made in accordance with the law. Refers to the resolutions or decisions made by the Company in accordance with the Company Law of the People's Republic of China, the Law of the People's Republic of China on Sino-foreign Equity Joint Ventures, the Law of the People's Republic of China on Chinese-Foreign Contractual Joint Ventures, the Law of the People's Republic of China on Foreign-funded Enterprises and the Articles of Association of the enterprise. The contents of the resolution or decision shall be consistent with the matters to be applied and shall indicate the reasons for the cancellation. If the branch company is ordered to close or the business license is revoked according to law, or the establishment license is revoked, it shall submit the decision of the court or the administrative authority regarding the order to close, revoke the business license or revoke the establishment of the license. If the branch company registration was revoked by the authority in accordance with the law, due to a violation of the "Regulations on the registration of the company". Then it should submit the revocation decision issued by the registration authority;
5. Tax certificate issued by the tax authorities;
6. Other relevant documents;
7. The business license and its copy.
Note: 1. The foreign-invested limited liability branch companies or joint stock limited branch companies apply for cancellation of registration in accordance with the Company Law, the Law on Sino-foreign Equity Joint Ventures, the Law on Foreign-funded Enterprises, the Law on Sino-foreign Cooperative Enterprises, are applicable to this specification.
